Carely Limited, hereafter referred to as "Carely," operates its platform with specific parameters to facilitate interactions between Service Providers and Service Seekers. It is crucial to comprehend the foundational structure within which our platform functions, as well as the inherent limitations associated with its nature. Carely serves as an online networking forum, enabling Service Providers to showcase their profiles and engage in potential service opportunities with Service Seekers. Concurrently, Service Seekers have the ability to outline their service requirements, along with pertinent terms, conditions, and accompanying details.
It is imperative to clarify that Carely does not function as an intermediary in the direct introduction, selection, or endorsement of particular Service Providers to Service Seekers, or vice versa. We are not an employment agency or a recruitment platform for Service Providers. We abstain from participating in referral services.
It should be noted that our platform does not undertake verification, assessment, interviewing, screening, or background checks of Service Providers or Service Seekers. The content posted by Service Providers, Service Seekers, or any other users on Carely is not subjected to our validation or assessment.
Carely does not assume the role of a party in any contractual arrangement between a Service Provider and a Service Seeker. Service Seekers adopt the role of potential employers when engaging with Service Providers, and it remains their responsibility to adhere to all relevant employment laws and regulations applicable to any established employment relationships. This encompasses compliance with employment standards legislation, workplace safety guidelines, and compensation frameworks.
Acknowledging that inherent risks, including the potential for physical harm, exist when interacting with individuals through the Carely platform is essential. Users are urged to exercise prudence and take on all associated risks when engaging with others on our platform.
It is imperative to understand that Carely provides no explicit or implicit assurance regarding the quality, timeliness, or legality of services offered by Service Providers. Equally, we do not vouch for the character, integrity, or actions of Service Seekers or Service Providers. Carely does not offer endorsements or recommendations for Service Seekers or Service Providers, and we do not validate the appropriateness, reliability, accuracy, or punctuality of rendered services or undertaken actions.
User-generated content predominates on the Carely platform, and we do not exercise control or review user-generated content for its accuracy on a comprehensive basis. We disclaim any responsibility for the accuracy or dependability of information shared by Service Providers or Service Seekers on or off the platform.
It is important to note that Carely bears no responsibility for the conduct, whether online or offline, of any user on the platform. Furthermore, we explicitly disclaim liability stemming from the use of information exchanged through our platform. All users, including Service Seekers and Service Providers, explicitly agree not to hold Carely Limited (and its officers, directors, affiliates, agents, representatives, advertisers, partners, and employees collectively referred to as "Associates") accountable for the actions or inactions of Service Seekers or Service Providers, or any advice, instruction, or services that were arranged through the platform. To the maximum extent allowed by applicable law, Carely Limited and its Associates disclaim any liability for damages, claims, suits, or disputes that have arisen or may arise from these interactions, whether known or unknown.
2. Who Can Use the Site and Services? Let's Talk Eligibility and Trustworthiness
We're excited to have you on board at Carely! To make sure everyone's on the same page, let's go over who can use our Services.
To hop on this ride, you need to meet these criteria:
- You've got to be eighteen (18) years old or older, and you've got the smarts to enter into legititimate contracts as per the law. If you're not quite at the eighteen (18) mark, hold off on registering for the Site or Services.
- You should live in an area where Carely is currently offering its Services. Let's keep it local!
- Now, if you're seeking care, you need to be a citizen or legal resident of the lovely New Zealand, or you've got a valid New Zealand visa to show off.
- For our wonderful caregivers, you also need to be a citizen or legal resident of New Zealand or have a legititmate New Zealand work visa. You've got the know-how, qualifications, and permissions to handle the roles you're applying for, just like the law says. And hey, if you're not legally allowed to work in New Zealand, hold off on joining us.
- Carers who are all set to venture beyond New Zealand and work as an au pair in another country, thanks for considering it! Just remember, you need to meet all the legal hoops, like visa requirements, for that other country. Safety first!
By signing up, using, or asking to use the Site or Services, you're giving us the thumbs-up that you've got the right, the power, and the ability to agree to these Terms. You're also saying you'll stick to all the rules and conditions here.
Given the nature of care services and the close relationships they involve, we need to make sure we're all on the up-and-up. You're telling us that:
- You've never been in a situation where complaints, restraining orders, or legal troubles came knocking due to criminal activities like violence, abuse, neglect, theft, or fraud. And you've never been in hot water for anything that puts others' safety at risk, involves dishonesty, negligence, or drugs. Keep it clean!
- You're not a registered, or previously registered, sex offender, and you're not required to be one by any government entity. Let's keep things respectful and safe.
3. Let's Talk About How We Connect: User Conduct and Using our Services
Starting on the Right Foot: Registration, Posting, and Content Etiquette
We're all about creating a positive community at Carely, and that starts with how we interact. Here are some guidelines for what we call "User Content." This includes anything you share through our Services, like messages, images, sounds, and more – basically, everything you put out there. By using our Services, you're agreeing to the following:
- When you sign up, make sure the info you provide is accurate, up-to-date, and complete. We're all about transparency!
- If you're creating an account for someone else, please register using your own legal name. We want to know who's who!
- Anything you post or share on the Site is your responsibility. Be respectful and steer clear of content that's defamatory, abusive, obscene, offensive, or illegal. - By sharing User Content, you're giving Carely, its Affiliates, and partners a worldwide, non-exclusive, irrevocable right to use, modify, and distribute that content. You're also promising that your content won't infringe on anyone else's rights.
- Follow the law! Your use of the Services, including your User Content, must be within the bounds of the law and regulations. Safety first, folks!
- Please note that if others provide inaccurate, incomplete, or outdated info on the Site, we're not responsible for that.
- If someone reviews you or your service, we won't be the ones moderating it. If you disagree with a review, you can post a respectful rebuttal. But remember, you can't delete your registration just to dodge a review. Let's keep things honest!
- Opinions and info shared on the Site or through Services by individuals other than Carely are solely their own. We don't vouch for them. We're not responsible for inaccurate info, and we won't endorse what others say.

When you step into the Carely Community, we're all about good vibes. Here's a rundown of what's off-limits:
- Don't use the Site, Services, or any info in a way that's abusive, threatening, obscene, or disrespectful. Let's keep things friendly and inclusive!
- No shady business! Don't use our Services for anything unlawful or promote illegal activities.
- Treat others with respect. No harassment, abuse, or harm allowed.
- Hands off others Carely accounts – get permission before you go snooping around.
- Honesty is key. Don't provide false or inaccurate info when setting up an account or interacting with fellow Registered Users. Keep it real!
- Safety first! Don't post jobs that might endanger a Carer's health or safety. Let's create secure connections.
- If we've given your account the boot for any reason, don't try to re-register. It's a no-go.
- No monkeying around with the smooth operation of Carelys Services. Let's keep things running smoothly for everyone!
- Automated actions that overwhelm our servers or network? Not cool.
- No sneaky bypassing of access restrictions or data harvesting. Respect the digital space!
- Keep the communication systems we provide free from commercial solicitations. It's a place for genuine connections, not ads.
- Steer clear of posting or linking to malicious content that could harm others' tech. Let's keep it safe out there!
To keep things in check, we might limit the number of emails you can send to others in a 24-hour span. We'll decide what's reasonable.
If we catch you breaking these rules or any others in these Terms, we're reserving the right to say goodbye to your access to the Site and Services. Let's all play fair and make this a great place for everyone!
And to protect our community's integrity, we might block certain IP addresses from accessing the Site. We're keeping things safe and sound!
5. Getting Things Verified: Poego's Checkup
Giving the Green Light: Consent for Verification Checks
As you step into the world of Carely, know that we might need to run some verification checks before accepting your memebership. By considering or using the Site or Services, you're giving us the green light to carry out these checks. We might team up with a third party to review your personal info and scan various sources – like offender registries, media streams, and more – to verify what you've shared and evaluate if you're a good fit for Carely ("Verification Checks").
If you're not up for these checks, no worries – you're not obligated to use Carely. We're all about making sure you're comfortable!
4.2. What the Results Mean: Liability Release for Verification Checks
While we might perform Verification Checks, it's not something we're bound to do. If we do conduct these checks on certain Registered Users, remember that they're a piece of the puzzle, not the whole story. They don't cover everything, and they don't guarantee the accuracy of the info provided or your eligibility for our Services.
The results of these checks can affect your access to our Services. If they show that you've provided false details or background info that doesn't align with our standards, you won't be able to register with Carely. If we find that you're not a good fit for our Services based on these checks, we have the right to bid farewell to your Carely registration.
Also, these verification checks are conducted by third-party verification services. We don't control or take responsibility for the accuracy, quality, or reliability of the info they provide.
Your journey with us is all about trust and safety, so let's work together to make Carely a secure space for everyone!
6. Wrapping Things Up: Navigating the Goodbye
Your journey with Carely is yours to navigate. If you're ready to take a break, you can wrap things up by sending us an email at hello@carely.co.nz Keep in mind, any purchases you've made before your departure won't be subject to a refund.
From our end, if we determine that you don't meet our eligibility criteria for using the Services, have violated the terms laid out here or in our Policies, don't align with the values of being a Registered User, or have used our Site content in ways like mirroring it on a competing or third-party site, we might need to part ways. In these cases, we have the discretion to terminate your access to the Carely Site, wipe your profile and any content associated with you from the Site, and even end your registration with Carely, with or without prior notice.
However, it's important to note that we also have the right, at our discretion, to end your access to the Carely Site, remove your profile and any content connected to you from the Site, and terminate your Carely registration for any reason or no reason at all, with or without giving you prior notice. If we do decide to part ways, we're not obliged to provide a reason, if there is one.
Once your use of the Site or Services comes to an end, we might inform other Registered Users who have interacted with you, respecting the privacy laws that apply.

When you click on these links, you're taking a journey on your own. It's your responsibility to decide if the content and info from these sites are useful for you. Remember, we don't control these external sites, and we're not responsible for what's on them. Just because we link to them doesn't mean we're vouching for their content or having any ties with their owners.
Keep in mind, any site run by third parties follows their own set of rules, not ours. So, if you decide to explore those sites, remember that their terms and conditions apply, not ours. If you end up using or viewing links from our Site, we're not responsible for any issues that might arise from it. 9. Making Things Official: Payments and Refunds
When it comes to making the most of Carely's Services, there might be times when Care Seekers and Carers need to pay for a Premium Member subscription or for a specific Service.
10. Taking Care of Billing: Care Seekers
When Care Seekers decide to level up with a Premium Member subscription, they're agreeing to cover the subscription charges outlined on the Site for the chosen plan. This is the payment information at the time of subscription, and your payment details will come into play. By being a Premium Member, you're giving us the go-ahead to charge your selected payment method based on the terms of the plan you've chosen. The charges' frequency and amount will depend on the plan you opt for.
If you're looking to grab other Services we offer for a fee, you're also giving us the thumbs-up to charge your chosen payment method for those services. If we already have your credit card details from previous purchases, we might use that info for your new services too. We're keeping things simple and secure!
11. Subscription Simplicity: Auto-Renewal and Cancellation for Care Seekers
When it comes to your Premium Membership subscription as a Care Seeker, here's information on renewal and cancellation:
Unless you tell us otherwise, your Premium Membership subscription will keep going until you decide to cancel. After the initial subscription period, and each time a subscription period ends, it will automatically renew for another period like the one you initially chose. This renewal happens at the rate and frequency you saw on the Site when you first subscribed.
If you're ready to bid goodbye to your subscription, you have options. You can send an email to hello@carely.co.nz or make the adjustments in your account settings. If you choose to cancel, you can use your subscription until your current term ends. Once that happens, your subscription won't renew, but there might be some fees connected to early termination, which we'll have let you know about when you signed up for your Premium Membership.
We're here to keep things straightforward and give you control over your Carely journey!
12. Navigating Payments: Carers
As a Carer, some of our Services and offerings might involve a fee, and we're here to fill you in:
Certain Services and goodies tailor-made for Carers might come with a price tag, as described here or on the Site. If you decide to explore other Services that come with a charge, you're giving us the green light to charge your chosen payment method for those Services.
We're all about keeping things clear and giving you control as you make the most of your Carely experience!
13. Handling Refunds: Our Approach
When it comes to refunds for cancelled purchases, here's how we do it at Carely:
As much as we'd like to, we don't typically offer refunds for cancelled purchases – it's our policy. But hey, we're not ones to stick to hard-and-fast rules. There might be times when we decide to issue refunds, especially when we believe they're the right move.
We're here to keep things fair and reasonable as we navigate this together!
14. Get a Taste Before You Commit: Our Free Trials
At Carely, we believe in giving Care Seekers the chance to dip their toes in with our limited-time free trial Premium Membership subscriptions. Here's the lowdown:
When Care Seekers jump on board for a Carely.co.nz Premium Membership trial, they're in for a sneak peek at what our Site can offer. During this trial run, they'll unlock certain features and get a feel for the benefits. If a Care Seeker decides that the subscription isn't their cup of tea before the free trial ends, no stress – no charges will be incurred. But if they're loving the Premium Membership and want to keep it going after the trial, they'll be charged the regular monthly subscription price, unless there's something special mentioned at the time they subscribed.
To make sure there are no surprises in the billing department, Care Seekers who've enjoyed the free trial need to cancel their subscription before the trial period wraps up. It's all about putting you in control and making sure your journey with Carely feels just right!
15. Navigating User Conduct and Resolving Disputes
At Carely, let's clear the air about our role: We're not employers of Carers, employment agencies, or recruitment agencies for any service provider or service Seeker. Service Seekers can connect with service providers through the Site or Services, and Carers can showcase their profiles and share proposals with Care Seekers for potential services. However, when it comes to agreements between service Seekers and service providers about services, that's solely between them – Carely is not part of those agreements. If there are any issues, like how a service was provided or payments, it's up to the service Seeker and service provider to sort it out directly.
When it comes to any claims, demands, or damages arising from these issues, Carely won't be held responsible. We make it clear that we're not liable for any of that kind of stuff, whether it's direct or indirect. By using our Site or Services, you're on board to stand up for Carely in case any claims or disputes arise between you and other users. It's all part of the package.
In your interactions with other users, it's important to use common sense and take reasonable precautions, especially if you're considering meeting in person. And hey, before you dive in, give our Safety Centre a visit – it's a smart move. If you come across any potential problems with other users, let us know pronto. You can reach out to us through electronic correspondence, and we're here to help.

16. Age Guidelines
At Carely, our focus is on those who are 18 and older. Care Seekers and Carers, take note: it's important to keep an eye on children's online activities and ensure that no one under 18 accesses the Site. We're committed to not gathering any information from individuals under 18. When you sign up, you'll need to indicate your age, and it's essential that this information is accurate. We don't take responsibility for any false claims about your age while using the Site. If we find out that you're under 18, we'll have to terminate your registration right away.
Carely is all about fostering a responsible online environment that's suitable for those who are 18 and above.
17. Embracing Reality: Disclaimers, Limits, and Being Smart
No Guarantees
At Carely, we're upfront about how things are: The info and materials you find on the Site, like text, graphics, links, and more, come "as is" and "as available." When it comes to opinions, advice, statements, and offers from others via the Services (not directly from Carely), remember that those are solely the authors' thoughts – they might be awesome, but they're not on us.
Here's the legal talk: Within the limits allowed by the law, Carely doesn't guarantee (1) the accuracy, adequacy, or completeness of these materials, (2) the accuracy or reliability of anything said by anyone other than Carely, (3) that your use of the Services will be virus-free, smooth, always there, error-free, or tailored to your needs, or that any issues will be fixed, or (4) that our Services are perfectly suited for what you're looking for or won't interfere with someone else's rights. We also don't put on the table any warranties about third-party services registered on our Site. We're also upfront that Carely isn't in the business of taking responsibility for errors or gaps in this info and materials.

You're savvy – you know that there are risks involved when it comes to employment and hiring decisions for care services. That includes things like potential abuse, physical and mental harm, theft, and other people not always looking out for you. It's a reality check that you understand and accept when using the Site and Services, whether you're diving into online or offline interactions with registered users.
Your agreement to use the Site and Services also comes with a promise to stay cautious – take all the necessary steps to keep yourself safe, whether you're chatting online or meeting in person. At Carely, we're all about fostering a smart and secure community where everyone's in the know.
18. Limitation of Liability
NOTHING IN THESE TERMS PURPORTS TO MODIFY OR EXCLUDE ANY CONDITION, WARRANTY OR GUARANTEE THAT CANNOT BE EXCLUDED UNDER NEW ZEALAND LAW, INCLUDING THE NEW ZEALAND CONSUMER LAW. TO THE EXTENT THAT ANY CONDITION, WARRANTY OR GUARANTEE CANNOT BE EXCLUDED UNDER NEW ZEALAND LAW, CARELY.CO.NZ LIABILITY FOR BREACH OF SUCH CONDITION, WARRANTY OR GUARANTEE IS LIMITED (AT CARELY.CO.NZ ELECTION) TO RE-SUPPLY OF THE RELEVANT SERVICES OR PAYMENT OF THE COST OF RE-SUPPLY OF THE RELEVANT SERVICES. Indirect Losses and Aggregate Liability. To the extent permitted by law, in no event will carely.co.nz be liable, whether in contract, tort (including negligence), statute, equity or otherwise, for any ”Indirect Losses” being loss of profit, loss of revenue, loss of goodwill, loss of reputation, loss of use and any damages, losses or expenses that may not fairly and reasonably be considered to arise directly and naturally, that is according to the usual course of things, from the breach or other wrongful act or omission relating to the Site, Services or these Terms giving rise to the relevant liability. Without limiting the foregoing, carely.co.nz has no liability for Indirect Losses arising out of or relating to the use of, or inability to use, the Site or Services, including without limitation damages related to any information received from the Site or Services, removal of content from the Site, including profile information, any email distributed to any user or any linked web site or use thereof or inability to use by any party, or in connection with any termination of your subscription or ability to access the Site or Services, failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if carely.co.nz, or representatives thereof, are advised of the possibility of such damages, losses or expenses. TO THE EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES WILL POEGO.CO.NZ AGGREGATE LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, EQUITY OR OTHERWISE, IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES OR THE SITE, EXCEED THE PRICE PAID BY YOU FOR YOUR USE OF THE SERVICES, OR, IF YOU HAVE NOT PAID CARELY.CO.NZ FOR THE USE OF ANY SERVICES.
No Liability for non Carely Actions. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL POEGO.CO.NZ BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT OR, INDIRECT LOSSES ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SITE OR THE SERVICES, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM ANYONE’S RELIANCE ON INFORMATION OR OTHER CONTENT POSTED ON THE SITE, OR TRANSMITTED TO OR BY ANY USERS OR ANY OTHER INTERACTIONS WITH OTHER REGISTERED USERS OF THE SITE OR SERVICES, WHETHER ONLINE OR OFFLINE. THIS INCLUDES ANY CLAIMS, LOSSES OR DAMAGES ARISING FROM THE CONDUCT OF USERS WHO HAVE REGISTERED UNDER FALSE PRETENCES OR WHO ATTEMPT TO DEFRAUD OR HARM YOU.
In addition to the preceding paragraphs of this section and other provisions of these Terms, any advice that may be posted on the Site is for informational purposes only and is not intended to replace or substitute for any professional financial, medical, legal, or other advice. Carely.co.nz makes no representations or warranties and expressly disclaims any and all liability concerning any treatment, action by, or effect on any person following the information offered or provided within or through the Site. If you have specific concerns or a situation arises in which you require professional or medical advice, you should consult with an appropriately trained and qualified specialist.
